ComserX Terms of Service

1. Nature of the Service (SaaS Store Builder & Business Ecosystem)

ComserX is a cloud-based Software-as-a-Service (SaaS) platform that provides businesses and individual entrepreneurs ("Merchants" or "Tenants") with software tools to build, customize, host, and manage their own independent online storefronts and commerce workflows.

ComserX Software Ecosystem Disclaimer:

• • ComserX is a technology infrastructure and software provider, not a retailer, wholesaler, or auctioneer.
• • We do not buy, sell, manufacture, or store any physical or digital goods displayed on Merchant storefronts.
• • We do not control, handle, or guarantee shipping, package delivery, product quality, or order fulfillment for your store's buyers.
• • Any commercial contract, transaction, or sale made through a Merchant's storefront is strictly a direct agreement between the Merchant and their end customer.

2. Eligibility, Jurisdiction & Currencies

• •Age Requirement: You must be at least 18 years of age or the age of legal majority in your jurisdiction to create an account and operate a store.
• •Jurisdiction: ComserX is operated under the laws of Sri Lanka, and provides store builder software services for Sri Lankan and international businesses.
• •Currencies & Pricing: Subscription fees, plans, and add-on pricing may be quoted in Sri Lankan Rupees (LKR) or United States Dollars (USD). Depending on your chosen payment method or billing provider, charges may be processed in USD or LKR at prevailing exchange rates.

3. Merchant Accounts & Store Ownership

To build and launch a storefront, you must register a ComserX Merchant Account using Google OAuth or email and password.

As a Merchant / Store Owner, you agree to:

• • Provide accurate, complete, and updated registration and business contact details.
• • Maintain the security and confidentiality of your administrative credentials.
• • Assume full responsibility for all content, activities, and transactions conducted under your store dashboard.
• • Promptly notify ComserX of any suspected unauthorized access or security breach regarding your store account.

4. Merchant Obligations to End Customers

When using ComserX to run your storefront, you act as the seller of record for your own products and services. Each Merchant is solely responsible for:

• • Accurate product descriptions, catalog imagery, pricing, and stock availability.
• • Compliance with consumer protection laws, trade regulations, and sales taxes applicable to your business.
• • Providing and publishing your own store terms, return/refund policy, and customer privacy notices.
• • Order fulfillment, delivery logistics, warranties, and direct customer service handling.

ComserX provides the software tools for your storefront but does not mediate or resolve disputes between you and your customers.

5. Plans, Features, Billing & Subscriptions

ComserX offers tiered access models including a Free Plan and optional Paid Subscription Tiers or add-ons designed to scale your business.

Subscription Billing & Payment Processing:

• • Recurring Billing: Paid plans are billed in advance on a recurring monthly or annual basis.
• • Payment Processor: Payments and subscriptions are securely processed through our authorized third-party payment processors and billing partners. ComserX does not store or process raw credit/debit card numbers directly on our servers.
• • Automatic Renewal: Paid subscriptions automatically renew at the end of each billing cycle unless canceled before the renewal date.
• • Cancellations & Downgrades: You can cancel your paid subscription at any time directly from your merchant billing dashboard. Upon cancellation, paid features remain active until the end of the current billing cycle, after which your account reverts to the Free Plan.

6. AI Tools & Ecosystem Features

ComserX may offer artificial intelligence (AI) tools, such as store chatbots, copy assistance, and image generation. When using these features:

• • You are responsible for reviewing and verifying all AI-generated content (images, descriptions, or chatbot responses) before publishing.
• • You must not use AI tools to generate misleading, copyright-infringing, fraudulent, or harmful materials.
• • AI features may be subject to monthly credit limits or token usage quotas based on your subscription tier.

7. Prohibited Uses & Store Content

Merchants must NOT use ComserX to host, market, or distribute:

• • Goods or services that violate Sri Lankan laws or international regulations.
• • Counterfeit, pirated, or unauthorized replica goods.
• • Deceptive schemes, advance-fee scams, phishing, or malware distribution.
• • Exploitative, defamatory, harassing, or hate speech content.
• • Activities that deliberately circumvent platform security, rate limits, or billing systems.

8. Intellectual Property & Store Data Ownership

• •Merchant Ownership: You retain complete ownership of all trademarks, brand assets, product catalogs, customer records, and media you upload to your store.
• •License to Host: You grant ComserX a limited, non-exclusive license to host, cache, display, and transmit your store content solely to provide and operate the Services.
• •ComserX IP: The ComserX software, core codebase, platform architecture, official themes, layouts, logos, and documentation are proprietary to ComserX and protected by copyright and intellectual property laws.

9. Service Availability, Updates & Maintenance

We strive to provide reliable, high-uptime cloud infrastructure. However, software services may occasionally experience downtime for maintenance, security patches, hardware upgrades, or unforeseen network outages.

ComserX reserves the right to modify, enhance, or deprecate software features or tools with reasonable notice when applicable.

10. Disclaimer of Warranties & Limitation of Liability

The ComserX platform and all related software tools are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied.

To the maximum extent permitted by applicable law, ComserX shall not be liable for:

• • Any loss of profits, business revenue, goodwill, data, or anticipated sales.
• • Any disputes, chargebacks, unpaid orders, or product returns between you and your end customers.
• • Service interruptions, server downtime, or carrier/network failures.
• • Actions or failures of third-party integrations, payment processors, or external APIs.

11. Account Termination & Data Export

You may terminate your ComserX store account at any time via your dashboard settings or by contacting our support team.

• • ComserX reserves the right to suspend or terminate accounts that breach these Terms, fail to pay subscription fees, or engage in abusive conduct.
• • Upon termination, access to your store dashboard will cease, and your public storefront will be taken offline. Merchants are advised to export their catalog and customer records prior to initiating account deletion.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Sri Lanka. Any legal claim or dispute arising out of or related to the Services shall be submitted to the exclusive jurisdiction of the competent courts in Sri Lanka.

14. Changes to Terms

We may modify or update these Terms of Service periodically to reflect changes in our software, features, pricing, or regulatory requirements. We will update the "Last Updated" date at the top. Continued use of ComserX following any updates constitutes your acceptance of the revised terms.
